COUNSEL-CLIENT FEE CONTRACT

This COUNSEL-CLIENT FEE CONTRACT is entered into by and between _________________ and WILLIAM NINOY’S COUNSELS on ___________________.

1. CONDITIONS. This Contract will not take effect, and COUNSEL will have no obligation to provide legal services, until Client returns a signed copy of this Contract and pays the deposit called for under paragraph 3.

2. SCOPE AND DUTIES. Client hires Counsel to provide legal services in connection with_______________________________________________________________________________________________________________________________________. Counsel’s services will not include litigation of any kind, whether in court, in administrative hearings or before government agencies or arbitration tribunals. Counsel shall take reasonable steps to keep Client informed of progress and to respond to Client's inquiries. Client shall be truthful with Counsel, cooperate with Counsel, keep Counsel informed of developments, abide by this Contract, pay Counsels bills on time and keep Counsel advised of Clients address, telephone number and whereabouts.

3. FIXED FEE. Client agrees to pay a fixed fee of P 5,000.00 for Counsels services under this Contact. The fixed fee is due by __________________. Counsels shall have no obligation whatsoever to provide services to Client until the fixed fee is paid in full. Unless the fee retained would be unconscionable and except as provided in paragraph 7, the fixed fee will be earned in full and no portion of it will be refunded once any substantial services have been performed.

4. COSTS AND EXPENSES. In addition to the fixed fee, Client shall reimburse Counsel for all costs and expenses incurred by Counsel, including, but not limited to, fees fixed by law or assessed by public agencies, long distance telephone calls, messenger and other delivery fees, postage, in-office photocopying at P___­ per page, parking & transportation expense at P____ per km., investigation expenses, consultants' fees and other similar items. Client authorizes Counsel to incur all reasonable costs and to hire any investigators or consultants reasonably necessary in Counsels judgment, unless one or both of the clauses below are initialed by Client and Counsel.

5. DEPOSIT. In addition to the fixed fee Client shall deposit thirteen (13%) per cent of the TOTAL PURCHASE PRICE amounting to P____________ by CASH and P______________ by CHECK. The sum will be deposited in a trust account, to be used to pay for costs and expenses. Client hereby authorizes Counsel to withdraw sums from the trust account to pay the costs Client incurs. Any unused deposit at the conclusion of Counsel's services will be refunded.
6. STATEMENTS. Counsel shall send Client periodic statements for costs incurred. Client shall pay Counsels statements within five (5) days after each statement's date. Client may request a statement at intervals of no less than 30 days. Upon Client's request Counsel will provide a statement within 10 days.

7. DISCHARGE AND WITHDRAWAL. Client may discharge Counsel at any time. Counsel may withdraw with Client's consent or for good cause. Good cause includes Client's breach of this contract, Clients refusal to cooperate with Counsel or to follow Counsels advice on a material matter or any other fact or circumstance that would render Counsels continuing representation unlawful or unethical. If Counsel withdraws before completing Counsels duties under this Contract, Client may be entitled to a refund of some or the entire fixed fee, depending on the facts and circumstances.

8. CONCLUSION OF SERVICES. When Counsels services conclude, all unpaid charges shall become immediately due and payable. After Counsels services conclude, Counsel will, upon Client's request, deliver client's file to Client, along with any Client funds or property in Counsels possession.

9. DISCLAIMER OF GUARANTEE. Nothing in this contract and nothing Counsels statements to Client will be construed as a promise or guarantee about the outcome of Client's matter. Counsel makes no such promises or guarantees. Counsel’s comments about the outcome of Client's matter are expressions of opinion only.

10. EFFECTIVE DATE. This Contract will take effect when Client has performed the conditions stated in paragraph 1, but its effective date will be retroactive to the date attorney first provided services. The date at the beginning of this Contract is for reference only. Even if this Contract does not take effect, Client will be obligated to pay Counsel the reasonable value of any services Counsel may have performed for Client.
